We are pleased to announce that two consolidated subsidiaries of Archem Inc. (based in Minato-ku, Tokyo and headed by Satoru Kusano, Global CEO), Archem Business Japan Co., Ltd. (based in Minato-ku, Tokyo and headed by Satoru Kusano, President; hereinafter referred to as “ACBJ”) and Archem Foaming Japan Co., Ltd. (based in Nabari, Mie Prefecture and headed by Takashi Nagatomo, President; hereinafter referred to as “ACFJ”) will carry out an absorption-type merger (hereinafter referred to as “the Merger”) whereby ACFJ will disappear by absorption by ACBJ, which will survive the Merger. The Merger is (planned) to come into effect on April 1, 2024.

1． Outline of the Parties to the Merger
Merging company

Merged company
Name                   : Archem Foaming Japan Co., Ltd.
Location              : 2350 Aza Matoba Nishihara-cho, Nabari-shi, Mie.
Representative    : Takashi Nagatomo, President

２． Succession of Business Transactions as the Result of the Merger
As a result of the Merger, all rights and duties of ACFJ, as well as business transactions with ACFJ, will be comprehensively succeeded by ACBJ.

３． Effective Date
April 1, 2024 (Provisional)

４． Policy of the Merger
An absorption-type merger whereby ACFJ will be absorbed by ACBJ, which will be the surviving company.
